Terms of Use
These terms govern access to and use of Spark. If your organization has a separate written agreement with Practora, that agreement takes precedence where it conflicts with these terms.

Using Spark
You must be authorized by your organization to install, configure, or use Spark. Administrators are responsible for controlling user access, connected systems, approval roles, and workspace policies.
You may use Spark only for lawful business purposes and in accordance with these terms, the applicable platform rules, and your organization’s policies.
Customer data and integrations
Your organization retains its rights in the information it provides to Spark. You grant Practora the limited rights necessary to process that information, operate the service, secure it, and provide requested support.
You are responsible for having the rights and permissions needed to provide information to Spark and to connect third-party systems. Third-party services, including Microsoft Teams, Slack, and finance platforms, are governed by their own terms.
AI-assisted work and approvals
Spark uses automated and AI-assisted systems. Outputs can be incomplete or incorrect and must be reviewed by an appropriately qualified person before they are relied upon.
Spark is not a substitute for professional accounting, tax, legal, investment, or audit advice. Your organization remains responsible for decisions, filings, records, approvals, and actions taken using Spark.
Where Spark provides draft-only or approval controls, users must not attempt to bypass those safeguards.
Acceptable use
You must not use Spark to violate law or third-party rights; introduce malicious code; probe or disrupt the service; bypass access controls; obtain unauthorized information; reverse engineer protected components except where law expressly permits it; or use the service to develop a competing model or service through systematic extraction.
We may suspend access where reasonably necessary to protect customers, Practora, third parties, or the integrity of the service.
Service availability and changes
We work to keep Spark available and secure, but the service is provided without a guarantee of uninterrupted or error-free operation. Features can depend on third-party platforms and may change when those platforms change.
We may update Spark and these terms. Material changes will apply prospectively and will be communicated through a reasonable channel.
Fees, termination, and data export
Fees, usage limits, payment terms, and subscription periods are set out in the applicable order, plan, or written agreement. Your organization may stop using Spark and remove the app from its workspace at any time.
Practora may terminate or suspend access for material breach, non-payment, security risk, or unlawful use. Data handling after termination follows the applicable agreement and Privacy Policy.
Intellectual property
Practora and its licensors retain all rights in Spark, its software, documentation, and branding. Subject to these terms and any applicable agreement, Practora grants your organization a limited, non-exclusive, non-transferable right to use Spark during the subscription period.
Feedback may be used to improve Spark without restriction, provided it does not identify your organization or disclose confidential customer information.
Disclaimers and liability
To the maximum extent permitted by law, Spark is provided on an “as available” basis and Practora disclaims implied warranties that cannot be supported for an AI-assisted service.
Liability is limited as stated in your organization’s written agreement with Practora. If no separate agreement applies, neither party is liable for indirect, incidental, special, punitive, or consequential loss, and Practora’s aggregate liability is limited to fees paid for Spark during the twelve months before the event giving rise to the claim, except where applicable law does not permit that limitation.
